BioTherapeutics, a brand of BioTherapeutics Iberia SL, NIF: B19499953, owner of biotherapeutics.es (hereinafter, “ BioTherapeutics ” or the “ Seller ”) offers you an online shopping service that will allow you to purchase the items available in our online store.

We invite you to review the general terms and conditions of sale (hereinafter, “GTC” or “General Terms and Conditions of Sale”) that govern the use of this Website and the purchase or acquisition of products through the websites https://biotherapeutics.shop/ and https://biotherapeutics.es (the “ Website ”). By using this Website, you agree to these general terms and conditions of sale, where applicable. However, if you have any questions, you can contact our Customer Service department.

These general conditions have been drawn up in accordance with the provisions of Law 34/2002, of July 11, on Information Society Services and Electronic Commerce and Royal Legislative Decree 1/2007, of November 16, which approves the Consolidated Text of the General Law for the Defense of Consumers and Users and other complementary laws.

ARTICLE 2 – Purpose

The purpose of these Terms and Conditions is, firstly, to inform potential buyers of the terms and conditions under which BioTherapeutics sells and delivers the requested products and, secondly, to define the rights and obligations of the parties within the framework of the sale of products by BioTherapeutics to the customer (hereinafter, the “Buyer”). These Terms and Conditions shall apply, without restriction or reservation, to all sales of products that BioTherapeutics offers through the Website.

Therefore, placing an order for products offered for sale on the BioTherapeutics Website implies the full and total acceptance by the Buyer of these Terms and Conditions, which the Buyer acknowledges having prior knowledge of before placing the order.

BioTherapeutics reserves the right to unilaterally modify these Terms and Conditions at any time. However, the Terms and Conditions applicable to the Order will be those accepted by the Buyer at the time of placing the Order.

These Terms and Conditions will be supplemented by the general terms of use of the Website and by the provisions of the Privacy Policy and the Cookie Policy.

ARTICLE 3 – Formalization of the contract and orders

3.1 Rates

The selling price, indicated in euros, of the products offered on the BioTherapeutics Website will be the price in effect at the time the order is placed (hereinafter, “Order.” An Order is understood as described in section 3.4 of these Terms and Conditions). The selling price of the products displayed on the Website may be modified by BioTherapeutics at any time, and the price applicable to the purchase will be the one displayed on the screen at the time the Order is placed. This price will be applicable within the framework of distance selling.

The price does not include shipping costs, which will be billed separately. Shipping costs will be indicated before the Buyer places the Order. The different delivery and shipping methods are set out in section 5.1 of these Terms and Conditions and will be displayed on the Website; these methods may be changed by BioTherapeutics at any time. Therefore, BioTherapeutics recommends that buyers periodically consult the Terms and Conditions on the Website.

Prices include Value Added Tax (VAT), Canary Islands General Indirect Tax (IGIC), or Production, Services, and Import Tax (IPSI), as applicable and in force on the date of the order, in accordance with current regulations. Any change in the applicable tax rate will automatically affect the price of the products that BioTherapeutics sells on the website.

3.2 Product characteristics

The Buyer may select one or more products from among the different categories offered by BioTherapeutics on the Website.

Without prejudice to Orders placed by the Buyer, BioTherapeutics may at any time modify the assortment of products offered for sale on the Website, especially as a result of restrictions linked to its suppliers.

In accordance with applicable regulations, the Buyer will have the opportunity, prior to placing an order, to learn on the BioTherapeutics website the fundamental characteristics of the products he or she wishes to purchase.

The products will comply with the requirements of current Spanish legislation. BioTherapeutics will not assume any responsibility in the event of non-compliance with the legislation of any country other than Spain where the product is to be delivered (e.g., in the event of a product ban, etc.). It is the Buyer's responsibility to verify with the local authorities of the country other than Spain where the products are to be delivered the applicable restrictions on the import and use of the products and services they wish to purchase.

For any questions regarding the products or for further inquiries or requests for advice, the Buyer can contact the BioTherapeutics Advisors team by calling Customer Service at +34 671 671 375 from Spain.

3.3 Availability

The products displayed on the Website are valid while they remain advertised and, in any case, until stocks run out. For products not currently in our warehouses, the validity of offers presented by BioTherapeutics is subject to product availability. At the time of placing an order, the Buyer will be provided with the information that is available, in principle, regarding product availability. Since this information comes directly from our suppliers, errors or modifications may occasionally occur, and the Buyer will not have the most accurate information until the time of purchase.

In any case, in the event of total or partial unavailability of the products after the Order has been placed, the Buyer will be informed by email, as soon as possible, of the unavailability of the product and the total or partial cancellation of their Order.

In case of total cancellation of the Order:

• The Buyer's Order will be automatically cancelled and if payment has not been made, no charge will be made against their bank account.
• BioTherapeutics Customer Service will contact the Buyer to inform them of the cancellation of their Order and offer them the possibility of renewing the Order, with the exception of the unavailable product.
• If payment has already been made, the order can be cancelled as long as it has not yet left BioTherapeutics' facilities. In this case, the Buyer will be refunded the full amount of the order as soon as possible. If the order has already been prepared, the buyer should refuse delivery and bear the shipping costs.
• BioTherapeutics Customer Service will contact the Buyer to inform them of the cancellation of their Order and offer them the possibility of renewing the Order.

In case of partial cancellation of the Order:

• The Buyer's Order will be validated and the full amount of the Order will be charged to their bank account.
• The available products will be delivered to the Buyer.
• The Buyer will be refunded the price of the requested product that was not available, as soon as possible.

3.4 Order

Placing an order implies acceptance of these Terms and Conditions, the stipulations set forth in the Legal Notice, and also declares that you have read and understand the Privacy Policy and the Cookie Policy, without prejudice to any specific conditions that the Parties may agree upon.

The Buyer will have the opportunity to check the details of their Order and correct any errors.

From the moment the Buyer confirms their Order by clicking on the "Confirm and pay" icon (hereinafter, the " Order "), it will be considered that they have knowingly accepted the content and conditions of the Order in question and, in particular, these General Terms and Conditions of Sale, the fact that their Order implies an obligation to pay, the prices, volumes, characteristics, quantities and delivery times of the products offered for sale and requested by the Buyer.

Once this phase has been validated and the order prepared, the Buyer may no longer cancel their Order. The sale will be final (subject to the Buyer's right of withdrawal under the conditions set forth in Article 6 of these General Terms and Conditions of Sale). The Order will be confirmed by BioTherapeutics by sending an email to the Buyer (the "Order Confirmation Email").

The Buyer will receive a second email upon shipment of their Order.

BioTherapeutics recommends that the Buyer keep these two emails. The Buyer is informed that the aforementioned two emails will be sent to the email address provided for identification during the registration process, prior to placing the Order.

Furthermore, BioTherapeutics assumes no responsibility for errors in entering the email address or for failure to receive the order confirmation email. In these cases, the sale will be final, except in the event of order cancellation by BioTherapeutics, particularly in the case of unavailable products. However, the Buyer may exercise their right of withdrawal under the conditions stipulated in Article 6 of these General Terms and Conditions of Sale.

Once the amount for the Order has been collected, an email with the electronic invoice will be sent to the Buyer if requested.

In accordance with applicable regulations, BioTherapeutics reserves the right to refuse or cancel for legitimate reasons any Order in which the number of products or the amount to be paid (for a single order or for several accumulated orders) or other elements manifest in a way that demonstrates the development by the Buyer of an economic activity related to the products requested or, in general, any abnormal Order in accordance with the jurisprudence applicable to the case.

Finally, BioTherapeutics reserves the right to suspend or cancel the execution and/or delivery of an Order, regardless of its nature and degree of execution, in the event of non-payment or partial payment of the amounts owed by the Buyer, in the event of payment incidents or in the event of fraud, completed or attempted, related to the use of the BioTherapeutics Website, including fraud committed in connection with previous Orders.

ARTICLE 4 – Payment

4.1 Payment methods – Bank cards

The payment methods available on the website are credit card, bank transfer, and digital wallet payments. The bank cards accepted on the BioTherapeutics website are Visa, MasterCard, and American Express.

All bank cardholders are subject to validation and authorization checks by the card issuer. If the buyer's payment card issuer declines or for any reason does not authorize payment to us, whether before or after payment, we will not be liable for any delay or failure to deliver.

4.2 Payment methods

All orders must be paid in euros, including all applicable taxes and duties. Any bank charges will be borne by the buyer (including in the case of refunds).

4.3 Security in payment operations

In order to guarantee the security of payments made by bank card, the Buyer must communicate to BioTherapeutics the visual cryptogram (CVV) that appears on the back of the bank card used by the Buyer.

In the context of the fight against online fraud, data relating to the Buyer's Order may be communicated to third parties authorized by law or designated by BioTherapeutics, for the sole purpose of verifying the identity of the Buyer, as well as the validity of the Order, the means of payment used and the planned delivery.

Once this verification is complete, BioTherapeutics reserves the right to request a photocopy of the Buyer's identity document and/or any other information relating to the Buyer's identity. The Buyer has certain rights under personal data protection regulations, as outlined in the Website's Privacy Policy.

ARTICLE 5 – Delivery and receipt

5.1 General provisions

The products requested by the Buyer in accordance with these Terms and Conditions may be delivered or collected, at the Buyer's option, as follows:

• To the address the Buyer indicated as the delivery address for the corresponding Order (hereinafter, “Delivery Address”). BioTherapeutics only delivers within Spain, including the Balearic Islands and the Canary Islands. In this case, the Buyer or the recipient of the Order will receive the products through the chosen shipping company. The aforementioned electronic delivery confirmation will serve as proof of delivery of the Order by BioTherapeutics.

If the Buyer of the Order is absent at the address provided at the time of delivery, the transport company will attempt to deliver the package again in the following days, after having duly informed the recipient of the incident by SMS, email and/or an arrival notice in the mailbox.

Shipments via Correos: In the event that the recipient is absent a second time at the address provided during the purchase process, the buyer or the recipient of the Order will receive an arrival notice, an email and/or an SMS, informing that their Order will be available for collection during the following 15 days at the headquarters of the corresponding transport company.

If within 15 days from the second unsuccessful delivery attempt, the package will be returned to BioTherapeutics and the money refunded to the Buyer, by any means of payment, as chosen by BioTherapeutics, less return shipping costs.

Shipments via CTT: If the recipient is not present at the address provided during the purchase process a second time, the package is returned directly to the sender. Once the package has arrived at the sender's facilities, been registered, and classified as resalable, the purchase price, minus return shipping costs, is refunded.

No claim relating to delivery will be accepted when the package is marked as delivered, for which purpose the carrier's computer system (identification) will be considered reliable.

5.1.1 Order Shipping Cost

Orders over €49.00 will have free shipping. Prices for the Canary Islands, Ceuta, and Melilla may vary. For orders below these amounts, the shipping cost will be shown in the order summary. Orders shipped to the rest of Europe are not eligible for free shipping.

5.2 Anomalies, damage or deteriorated packages

5.2.1 General provisions

The Buyer, or the recipient of the Order, is advised to check the external condition of the package and the products at the time of delivery.

In the event of any issue related to the package (damaged package, open package, liquid residue, etc.) or to the ordered product(s) (missing product(s), damaged product(s)), the Buyer must strictly follow the appropriate procedure, as described below (in sections 5.3.2 and 5.3.3 of these General Terms and Conditions of Sale), depending on the status of the Order. Failure to follow the correct procedure will preclude any recourse against the carrier and BioTherapeutics. Specifically, the Buyer will not be entitled to any refund. The Buyer, or the recipient of the Order, will also not be entitled to demand replacement of the ordered products from BioTherapeutics.

Similarly, the Buyer or recipient of the Order may call BioTherapeutics Customer Service to inquire about the procedures for returning the damaged product(s). In this case, the Buyer is obligated to follow the procedure for returning damaged products as indicated by BioTherapeutics Customer Service. Otherwise, the Buyer will not be entitled to a refund or replacement of the affected products.

5.2.2 Mandatory procedures in case of damaged package

• In the event of an incident observed in the presence of the transport company:

– Refuse the delivery and clearly and thoroughly explain the incident.

– Indicate the tracking number and the reason for the delivery refusal to the BioTherapeutics Customer Service.

• In case of incidents observed without the presence of the transport company:

– Report the problem to BioTherapeutics Customer Service through the following means:

Incident reports and complaints must be made as soon as possible and, in any case, within 3 business days of product delivery.

5.2.3 Mandatory procedures in case of missing or damaged product

The Buyer must notify BioTherapeutics Customer Service of any product absence or damage using the methods specified in the previous section. BioTherapeutics Customer Service may request any information regarding the identity of the Buyer or recipient of the Order and carry out any necessary verifications.

5.3 Delivery times

The customer can choose from different delivery options when placing the order. The supplier Ctt offers next business day delivery before 2:00 PM or within 24 hours. Correos offers delivery within 1 to 4 business days.

Delivery times begin counting from the sending of the Order confirmation email, except for payments by bank transfer which would begin counting from the receipt of the transfer by BioTherapeutics and will be those communicated to the buyer before making and confirming the purchase.

In the event that delivery deadlines are exceeded for any reason other than force majeure, the Buyer will have the option to cancel their Order.

ARTICLE 6 – Guarantees

6.1. Legal guarantees

All products for sale on the Website are covered by the legal guarantee of compliance with applicable regulations and by the guarantee against hidden defects, which allows the Buyer to return, free of charge, any defective or non-conforming products that have been delivered to him or her.

6.1.1 Legal guarantee of conformity

In accordance with applicable regulations, BioTherapeutics is obligated to deliver products that conform to the contract and is liable for any lack of conformity existing at the time of delivery. It will also be liable for any lack of conformity resulting from packaging, assembly instructions, or installation, when such installation is its responsibility under the contract or was carried out under its supervision.

To be compliant with the contract, the product must:

– Be suitable for the uses to which products of the same type are ordinarily put;

– Conform to the description provided by the seller and possess the qualities of the product presented by the seller through the Website. There may be slight differences between the product shown on the website and the delivered product. This applies in particular, but not exclusively, to the product packaging. If a product presents such deviations, but these do not alter the essential characteristics of the product, it will be considered to conform to the contract.

– To present the quality that the Buyer can reasonably expect, taking into account the public statements made by BioTherapeutics, particularly in advertising or labeling. Furthermore, BioTherapeutics will not be bound by these statements if it demonstrates that it was unaware of and could not reasonably have been expected to be aware of the statement in question, that the statement had been corrected at the time the contract was concluded, or that the statement could not have influenced the decision to purchase the product.

– To present the characteristics defined by mutual agreement between the parties or to be suitable for any specific use intended by the buyer, made known to the seller and accepted by the latter.

The action resulting from defects in conformity prescribes after TWO (2) years from the delivery of the goods.

6.1.2 Legal guarantee for hidden defects

In accordance with applicable regulations, BioTherapeutics will be obligated to provide a warranty for hidden defects in the product sold, if they make it unsuitable for its intended use, or if they diminish this use to such an extent that, had the Buyer known of them, they would not have purchased it or would have paid a lower price for it.

The action resulting from hidden defects must be exercised by the buyer within SIX (6) months after the discovery of the hidden defect.

In the context of the legal guarantee for hidden defects, BioTherapeutics undertakes, after evaluating the hidden defect, at the Buyer's option:

– To refund the full price of the returned product or;

– To refund part of the price of the product when the Buyer chooses to keep the product.

6.1.3 Exclusion of warranties

Products that have been modified, repaired, or altered are excluded from the warranty.

Methods of enforcing legal guarantees

When it comes to the legal guarantee of conformity, the Buyer:

– You have a period of TWO YEARS, starting from the delivery of the goods, to exercise the action;

– You may choose between repair or replacement of the item, without prejudice to the conditions on expenses established in the applicable regulations;

– You are exempt from providing proof of the existence of the defect in conformity of the goods during the six months following delivery of the goods.

– Keep the purchase invoice and/or the delivery note for the Order.

The legal guarantee of conformity applies regardless of any other agreed commercial guarantee.

For any claim relating to legal guarantees, the Buyer must contact Customer Service through the means specified in these Terms and Conditions.

These provisions do not exclude the right of withdrawal provided for in Article 6 above.

The warranty does not apply to products that have suffered damage during transport or as a result of misuse.

Consequences of the enforcement of the guarantees

Under the legal guarantee of conformity, BioTherapeutics undertakes, at the Buyer's option:

– To replace the product with an identical one depending on available stock, or

– To refund the price of the product when its replacement proves impossible.

In the context of the legal guarantee for hidden defects, BioTherapeutics undertakes, after evaluating the hidden defect, at the Buyer's option:

– To refund the full price of the returned product, or

– To refund part of the price of the product when the Buyer chooses to keep the product.

ARTICLE 7 – Signature and proof

BioTherapeutics works to protect the personal data of its customers by ensuring a high level of security; however, the Buyer must also participate in protecting their own personal data. Specifically, the Buyer must maintain the security of their online transactions, for example, by not sharing their username (Buyer's email address) and/or password with anyone, and by changing their password regularly. In this regard, BioTherapeutics assumes no responsibility for the disclosure of the Buyer's data to any person who uses the Buyer's username (Buyer's email address) and/or password.

In this regard, the use of the identifier (Buyer's email address) and/or the Buyer's password will be proof of their identity and of the enforceability, at the time of the Order validation, of the corresponding amounts.

BioTherapeutics assumes no responsibility whatsoever for the fraudulent use of this data. The communication of the bank card number and the final validation of the Order will serve as proof of acceptance of said Order and the enforceability of the amounts committed for the reservation of the products listed in the Order. The electronic records, stored in the computer systems of BioTherapeutics and its partners, will be considered proof of the communications, Orders, and payments made between the Parties.

ARTICLE 8 – Customer Service / Mediation Service

For any additional information, query related to the status of an Order or a return, or claim related to an Order, you can contact BioTherapeutics Customer Service by sending an email to contacto@biotherapeutics.es.

The website https://www.juntadeandalucia.es/servicios/sede/tramites/procedimientos/detalle/2634.html is available for consumers to submit and process official complaint forms to the Regional Government of Andalusia against companies that sell goods or provide services in the Autonomous Community of Andalusia. This procedure allows consumers to attempt mediation or conciliation to resolve the conflict, file a complaint with the company, or report potential violations to the Administration. Complaints can be submitted in person, by mail, or electronically, provided the complainant has a digital certificate or electronic signature and the company against which the complaint is being made has adopted this method.

ARTICLE 9 – Liability

9.1 Capacity

Prior to placing an order, the Buyer declares that they have full legal capacity to be bound by these General Terms and Conditions of Sale. Therefore, if a person lacking legal capacity places an order for items on the BioTherapeutics website, that person's legal representatives (especially parents or guardians) will assume full responsibility for the order and, specifically, must pay the price.

9.2 Limitation of liability

BioTherapeutics shall not be liable for the obligations set forth in these General Terms and Conditions of Sale when the breach of said obligations is attributable to the actions of third parties, even if such actions were foreseeable, to the fault of the Buyer, or to the occurrence of a force majeure event, as defined in the applicable jurisdiction, or to any other circumstances reasonably beyond the exclusive control of BioTherapeutics. The information available on the Website is provided without any warranty, either express or implied, regarding its completeness, accuracy, timeliness, non-infringement, availability, reliability, or comprehensiveness of the data, products, accessories, or services appearing on the BioTherapeutics Website, or regarding their suitability for the Buyer's intended use. BioTherapeutics DISCLAIMS ALL LIABILITY FOR ANY DAMAGES, DIRECT OR INDIRECT, FORESEEABLE OR UNFORESEEN, INCURRED AS A RESULT OF THE USE OF THE WEBSITE. In the event that BioTherapeutics is found liable for damages suffered by the buyer solely attributable to the placement of an order, such liability shall be limited to the amount of the order that the buyer has paid to BioTherapeutics.

ARTICLE 10 – Protection of personal data

To process the Order, BioTherapeutics will collect the Buyer's personal data. The Buyer is hereby informed that the Data Controller is BioTherapeutics Iberia SL, and that their data will be processed in accordance with Organic Law 3/2018, of December 5, on the Protection of Personal Data and Guarantee of Digital Rights, and Regulation (EU) 2016/679 of April 27, 2016 (GDPR) on the protection of natural persons with regard to the processing of personal data and on the free movement of such data. Therefore, we inform you that your data will be processed for the primary purpose of maintaining and managing the contractual relationship with the Buyer. Furthermore, please note that you have the right to access, rectify, and erase your data, as well as other rights detailed in the Privacy Policy .

ARTICLE 11 – Miscellaneous

11.1 Partial disability

If one or more of the provisions of these General Terms and Conditions are deemed invalid or declared invalid by application of any law, regulation or as a result of a final decision of a competent authority, the remaining provisions shall remain in full force and effect.

11.2 Exclusion of waiver

The fact that either Party does not exercise its rights in the event of a breach by the other Party of any of the obligations imposed on it by these Terms and Conditions shall not be interpreted as a waiver of rights in the event of future breaches of the obligation in question.

11.3 Applicable law and competent jurisdiction

These General Terms and Conditions are governed by Spanish law. The parties submit, at their option, for the resolution of any disputes and waiving any other jurisdiction, to the courts of the seller's domicile.

11.4 Validity

These Terms and Conditions will apply for the entire period that the products offered by BioTherapeutics remain online and until the warranty periods expire. In any case, the provisions of "Article 10. Liability" will remain in effect after the termination of these Terms and Conditions.
